What a Chief Legal Officer does in UAE
A Chief Legal Officer in UAE holds C-suite accountability for all legal, compliance, and governance functions across an organisation operating in the UAE and GCC. You report to the CEO and Board, advise on the highest-stakes legal decisions including major transactions, regulatory matters, and litigation, and protect the organisation’s legal interests across all markets. Your leadership determines the organisation’s legal risk posture and governance quality in one of the world’s most rapidly developing regulatory environments.
Key responsibilities
- Lead all legal, compliance, and governance functions for the organisation’s UAE and GCC operations
- Serve as the organisation’s principal legal advisor to the CEO, Board, and Audit Committee
- Own external legal spend and manage panel law firm relationships across UAE, Saudi Arabia, and international jurisdictions
- Lead legal strategy for major M&A, JV, and capital markets transactions in UAE and GCC
- Manage the organisation’s regulatory relationships with UAE Central Bank, SCA, DFSA, and other authorities
- Lead the legal team including General Counsel, Head of Compliance, and Company Secretary functions
- Advise on corporate governance under UAE Companies Law, DIFC, ADGM, and international listing obligations
- Manage the organisation’s litigation strategy and major dispute resolution processes
- Drive legal and compliance culture across the organisation through tone-setting and programme governance
- Present legal risk assessments and compliance programme status to the Board quarterly
Qualifications required
- LLB or LLM from a top-tier institution; LLD or equivalent doctoral legal qualification preferred
- 20 to 25 years of legal experience with at least 7 years as CLO, GC, or Senior Legal Director in UAE or GCC
- Admission to practice in UAE, DIFC, or ADGM
- Proven Board-level legal advisory experience in UAE or GCC regulated environments
- Deep expertise in UAE Federal Companies Law, DIFC/ADGM frameworks, and GCC cross-border transactions
- Arabic language fluency strongly preferred for UAE government and regulatory engagement
- Track record managing complex litigation and arbitration proceedings in UAE courts and DIFC/ADGM courts
- Strong M&A and capital markets transaction experience in UAE and international markets
